CUSTOMER TERMS & CONDITIONS
Vehicle Pick-up / Drop-off Service
These Customer Terms & Conditions (“Terms”) govern the vehicle pick-up and drop-off service (“Service”) offered by AG AUTO TRADING L.L.C,”), a Limited Liability Company established in Dubai under license no. 781135, having its registered office at Leader Building, Office number 12, Al Quoz, Dubai, United Arab Emirates, and which is the authorised distributor of the EXEED vehicles in the UAE (“EXEED”, “we”, “us), to its customers (“Customer”, “you”) in connection with vehicles owned by the Customer (“Vehicle”). By requesting, accepting, or otherwise using the Service, the Customer agrees to be bound by these Terms.
1. NATURE OF THE SERVICE
1.1. EXEED offers Customers the convenience of booking a vehicle pick-up and/or drop-off (for example, to or from an EXEED service center for maintenance, inspection, or delivery) without the Customer needing to arrange their own transport.
1.2. EXEED does not itself operate or perform the pick-up/drop-off service. EXEED books and coordinates the Service on the Customer’s behalf through Zofeur FZ-LLC (“Zofeur”), an independent, licensed chauffeur-service platform (license no. 96991, Dubai Media City, UAE), which is the actual service provider responsible for arranging and performing the pick-up and drop-off of the Vehicle through its network of independent chauffeur service providers and drivers (“Driver(s)”).
1.3. EXEED’s role is limited to that of a booking facilitator: requesting the Service from Zofeur on the Customer’s behalf, communicating booking details, and coordinating timing with the Customer. EXEED does not select, employ, supervise, or control the Driver who physically collects or delivers the Vehicle — that relationship and responsibility rests with Zofeur.
2. CUSTOMER AUTHORIZATION
2.1. By requesting or accepting the Service, the Customer expressly authorizes EXEED to book, on the Customer’s behalf, the pick-up and/or drop-off of the specified Vehicle by a Zofeur Driver, and authorizes that Driver to take possession of, drive, and transport the Vehicle solely for the purpose of completing the pick-up/drop-off.
2.2. The Customer confirms that they are either the registered owner of the Vehicle or have the registered owner’s consent to authorize this Service in relation to the Vehicle, and that they are entitled to hand over the Vehicle and its keys for this purpose.
2.3. The Customer is responsible for removing personal belongings, valuables, and confidential items (including toll tags, garage door openers, documents, electronic devices, or data-storage media) from the Vehicle before hand-over. Neither EXEED nor Zofeur is responsible for personal items left in the Vehicle.
2.4. The Customer represents and warrants that: (i) the Vehicle is covered by valid, current motor vehicle insurance that permits any person holding a valid UAE driving license to drive the Vehicle; (ii) the Customer will not do anything that endangers or invalidates that insurance cover; (iii) the Vehicle complies with applicable UAE laws and regulations, has been regularly maintained and serviced, and all its equipment (including tires, brakes, lights, steering, and seat belts) is in good working order; and (iv) all information the Customer provides about the Vehicle (make, model, license plate, insurance status) is accurate and will be kept up to date. EXEED and Zofeur are entitled to rely on this information without further enquiry.
2.5. If the Vehicle fails to function properly (electrically, mechanically, or otherwise) while the Service is being carried out, the Customer is solely responsible for any resulting storage fees, roadside assistance, alternate transportation, and repair costs; neither EXEED nor Zofeur nor the Driver shall be responsible in that regard.
3. ROLE AND RESPONSIBILITY OF ZOFEUR
3.1. Zofeur is an independent contractor and is solely responsible for the performance of the pick-up/drop-off, including the conduct, licensing, and competence of its Drivers.
3.2. Zofeur confirms that its Drivers are safe drivers holding a valid driving license issued by Dubai’s Roads and Transport Authority (RTA). Except as explicitly stated in clause 3.3 below, Zofeur does not procure insurance for, nor is Zofeur or EXEED responsible for, damage or loss of any personal belongings or intellectual property whilst the Service is being provided. This includes tapes, records, discs, or other similar audio-visual or data electronic devices, any speed-measuring equipment within the Vehicle, or any other accessories of any kind. It remains the Customer’s responsibility to ensure that any personal belongings are removed from the Vehicle before and after each Service arranged through Zofeur.
3.3. Any damage to the Vehicle directly caused during the Service where the Driver is at fault (as documented in an official police report) is covered under Zofeur’s own vehicle-damage insurance arrangement, up to a maximum of AED 500,000 per Vehicle and AED 1,000,000 in the aggregate per year.
3.4. The following are explicitly excluded from Zofeur’s vehicle-damage coverage, and the Customer acknowledges that neither EXEED nor Zofeur will be responsible for: (i) third-party property damage; (ii) pre-existing damage to the Vehicle; (iv) tools of trade or goods/products carried in the Vehicle; and (iii) loss of use, depreciation, or wear-and-tear, mechanical, or electrical breakdowns, failures, and breakages unrelated to the Driver’s conduct.
3.5. The Customer is aware that the insurance for any damage under this clause 3 is covered by a third-party insurance company, contracted by Zofeur. The Customer confirms that Zofeur has the unilateral right to amend and/or delete the vehicle-damage insurance coverage described in this clause 3 at any time, upon giving 30 days’ notice to that effect. EXEED will pass on any such notice it receives from Zofeur to Customers who have an active or upcoming booking affected by the change.
3.7. To remain eligible for coverage under clause 3.3, the Vehicle must be repaired at a workshop designated by Zofeur’s insurer (currently a GIG Gulf panel workshop, or such other workshop as Zofeur may designate from time to time), save where clause 3.5 (Agency Repair Coverage) applies. Repairs carried out elsewhere may not be reimbursed. EXEED will provide the Customer with the current designated workshop list upon request.
3.8. Any Incident or Accident (including any damage, alleged misconduct, or late arrival by a Driver) must be reported by the Customer to EXEED as soon as possible and, in any event, within twelve (12) hours of the Incident or Accident occurring, so that EXEED can in turn notify Zofeur within Zofeur’s own twenty-four (24) hour reporting deadline. Incidents reported after this window may not be capable of being claimed against Zofeur’s insurance arrangement, and EXEED shall not be responsible for any coverage lost as a result of the Customer’s late reporting.
3.9. Where an Accident occurs and the Driver is found to be at fault under an official Red Police Report, and the estimated repair period exceeds seven (7) calendar days, a courtesy vehicle will be arranged.
3.10. Where an official Green Police Report is issued (Driver not at fault), neither EXEED nor Zofeur shall be liable for the accident, and any claim shall be directed to the insurer of the at-fault party in accordance with UAE law.
3.11. Zofeur does not makes any warranty, guarantee, or representation as to the licensing, ability, competence, or qualifications of any Driver beyond what Zofeur requires as a matter of its own onboarding process. Zofeur is not a driver company, does not employ Drivers, and Drivers are engaged by independent Third-Party Driver Companies, not by Zofeur.
4. ROLE AND LIMITATION OF LIABILITY OF EXEED
4.1. As EXEED does not perform the physical pick-up/drop-off, EXEED’s liability to the Customer in connection with the Service is limited to its role as booking facilitator. EXEED shall not be liable for any act, omission, negligence, delay, or damage caused by Zofeur or its Drivers in the course of performing the Service, except to the extent such liability arises from EXEED’s own breach of these Terms or failure to properly transmit the Customer’s booking instructions.
4.2. Claims relating to damage to the Vehicle, loss of belongings, delay, or the conduct of a Driver during pick-up/drop-off should be directed by the Customer to EXEED, which will escalate and coordinate the claim with Zofeur on the Customer’s behalf under the EXEED–Zofeur services agreement.
4.3. Nothing in this clause excludes or limits liability that cannot lawfully be excluded or limited under UAE law.
4.4. The Customer agrees to indemnify and hold EXEED harmless against any losses, claims, liabilities, fines, or costs (including any amount EXEED becomes liable to pay to Zofeur, a Third-Party Driver Company, or any Driver) arising out of or in connection with: (i) any inaccurate, incomplete, or outdated information the Customer provides about the Vehicle or its insurance status; (ii) the Customer’s breach of clause 2.4 (Vehicle insurance and roadworthiness warranties); (iii) the Customer not being the registered owner of the Vehicle, or not having the registered owner’s valid consent, at the time of booking; or (iv) the Customer’s failure to report an Incident or Accident within the timeframe set out in clause 3.8. This indemnity reflects, and is intended to correspond with, obligations that EXEED itself owes to Zofeur under Zofeur’s own platform terms and conditions.
5. NOTIFICATIONS AND TRACKING
5.1. By using the Service, the Customer consents to receive booking confirmations, Driver status updates, pick-up/drop-off notifications, and live trip-tracking links via SMS and/or WhatsApp to the mobile number provided at the time of booking. These communications are limited to operational and service-related updates.
5.2. The Customer’s contact details and Vehicle information will be shared with Zofeur solely for the purpose of arranging and performing the Service, in accordance with EXEED’s privacy policy and applicable UAE data protection law.
6. CANCELLATION
6.1. Bookings may be cancelled by the Customer free of charge up to sixty (60) minutes before the scheduled pick-up/drop-off time.
6.2. Cancellations made less than sixty (60) minutes before the scheduled time may be subject to a cancellation charge of AED 20.00, as communicated by EXEED at the time of booking.
7. GENERAL
7.1. EXEED may update these Terms from time to time. Continued use of the Service after such update constitutes acceptance of the revised Terms.
7.2. These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, and the courts of Dubai shall have exclusive jurisdiction over any dispute arising here from.
7.3. Neither EXEED nor Zofeur shall be liable for any delay or failure to perform the Service to the extent such delay or failure arises from causes beyond their reasonable control, including but not limited to acts of God, extreme weather, fire, flood, war, civil unrest, governmental action or restriction, road closures, strikes, or failures of telecommunications, network, or internet infrastructure (“Force Majeure Event”). Where a Force Majeure Event affects a booking, EXEED will use reasonable efforts to notify the Customer and reschedule the Service, without liability to EXEED for the delay or failure itself.
By proceeding with the booking, or by signing below where applicable, the Customer confirms that they have read, understood, and agree to be bound by these Terms & Conditions.
